Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Gizmo platform, website, and related services (collectively, the "Service") provided by Gizmo Platforms Inc ("Gizmo," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Gizmo lets you create and run AI agents on the model of your choice, including models from OpenAI, Anthropic, Google, and providers available through OpenRouter. Agents can chat with you, research the live web, and generate images. You instruct the Service; you remain responsible for the agents you create and the content they produce.

2. Your account

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account. You must be legally able to enter into these Terms.

3. Plans, usage, and credits

• Membership. Access to the Service requires a paid monthly plan. Plan prices and what each plan includes are shown at signup and in Billing.
• Included usage. Each plan covers a stated amount of raw model usage per week. Included usage resets weekly and does not roll over.
• Credits. Usage beyond your weekly included amount draws from your prepaid credit balance. Credits can be purchased in the Service and, if you enable auto-refill, topped up automatically from your card on file. Credits have no cash value.
• Changes. We may change plan pricing or included usage with notice; changes apply from your next billing period.
• Refunds. Except as required by law, fees and credits are non-refundable.

4. Third-party model providers

The Service routes your agents’ conversations to third-party AI model providers you select. Model availability, behavior, and pricing are controlled by those providers and can change without notice. Gizmo is not responsible for changes, outages, or actions of third-party providers.

5. Acceptable use

You agree not to use the Service to:

• violate any law, regulation, or third-party provider policy;
• generate or publish content that is unlawful, deceptive, or infringes the rights of others;
• interfere with or disrupt the integrity or performance of the Service; or
• attempt to access accounts, systems, or data without authorization.

6. AI-generated output

The Service uses artificial intelligence to generate content, research the web, and create images. AI output may contain errors. You are responsible for reviewing your agents’ output and for any use you make of it.

7. Intellectual property

We retain all rights in the Service. You retain all rights in the content you provide and, to the extent permitted by the applicable model provider’s terms, in the outputs your agents produce, and you grant us the limited rights needed to operate the Service on your behalf.

8. Termination

You may stop using the Service and cancel your plan at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or harm. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will survive.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Gizmo Platforms Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amounts you paid us in the twelve months preceding the claim (or one hundred US dollars, if greater).

11. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the Service). Continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Venue for any dispute lies in the state or federal courts located in Travis County, Texas.
